GadgetPickup dot com LLC, along with its subsidiaries, affiliates, and assigns (collectively, “GadgetPickup,” “we,” “us,” or “our”), provides a platform (“Services”) enabling you to sell eligible consumer electronics (“Products”) by requesting a purchase offer (“Offer”) through our website at www.gadgetpickup.com (“Website”). To participate in our Trade-In Service, you must accurately describe your Product’s condition, accept the Offer, and complete the checkout process on the Website. By using our Services, you agree to comply with these Terms and Conditions, which form a legally binding agreement.

By creating an account with GadgetPickup or accessing our website at www.gadgetpickup.com (“Website”), you agree to be bound by these Terms and Conditions. We may update these Terms at our discretion by posting the revised version on our Website. Any changes will take effect immediately upon posting, and your continued use of the Services constitutes acceptance of the updated Terms.

  1. GadgetPickup may, at its sole discretion, suspend or terminate your access to our website at www.gadgetpickup.com or any of our Services if you violate these Terms and Conditions, fail to adhere to our policies, or for any other reason we deem appropriate. Such actions may be taken without prior notice, in accordance with applicable laws.
  2. These Terms and Conditions govern your participation in any offer to sell your electronic devices (“Products”) through the GadgetPickup website at www.gadgetpickup.com (“Website”) and your use of our Services, including the Trade-In Service, related applications, and any associated features. Together with our Website User Agreement, any supplemental policies, or specific terms related to a transaction or feature, these Terms form a binding agreement (“Agreement”) between you and GadgetPickup dot com LLC (“GadgetPickup”). You acknowledge that this Agreement, provided in electronic form, carries the same legal weight and enforceability as a written contract, as permitted by applicable law. In this Agreement, “you” or “your” refers to any individual or entity using our Services under these Terms.
  3. To participate in a Trade-In or any transaction with GadgetPickup, you must:
    • provide truthful, accurate, and current information about yourself and the electronic devices (“Products”) you submit;
    • adhere to all provisions of these Terms and Conditions;
    • comply with all relevant federal, state, and local laws, including import and export regulations;
    • act solely on your own behalf and not as an agent for others;
    • be at least 18 years old and possess the legal capacity to enter into binding contracts; and
    • have the ability to transfer full, unencumbered ownership of any Product you send to us.
  4. GadgetPickup is not liable for communication errors resulting from inaccurate or incomplete contact information provided by you. You must ensure your email account can receive messages from GadgetPickup, and we are not accountable for emails blocked or filtered as spam. By using our Services, you acknowledge that if you provide incorrect or outdated information: (a) GadgetPickup is not liable for Trade-In payments sent to an incorrect address, and (b) any unclaimed funds may be subject to collection by government authorities under Florida’s unclaimed property laws or other relevant regulations. You agree that GadgetPickup has no obligation to you if unclaimed funds are transferred to a governmental authority in compliance with relevant laws.
  5. To receive payment for Products submitted through our Trade-In Service, you must provide accurate and up-to-date information, including your full legal name, a valid phone number, an active email address capable of receiving messages, and a current postal address for mail delivery. GadgetPickup reserves the right, at its sole discretion, to issue payments via methods such as mailed checks, PayPal, or other electronic payment platforms, in accordance with applicable laws.
  6. GadgetPickup determines Product pricing based on various factors, such as current market trends and the condition of the submitted electronic devices. We do not offer price matching with other companies or provide price adjustments after a payment has been finalized, ensuring transparency in our pricing process.
    • Brand New: Device remains in original factory packaging, with box and all accessories sealed and unused..
    • Flawless: Device is unused or in flawless condition with full functionality. Has absolutely no scratches, scuffs or other marks. Looks brand new. Battery health must show above 95%.
    • Good: This condition is for an item that has signs of usage but is still in good condition with some signs of wear. This item is still 100% functional. Battery health must show above 85%.
    • Fair: Item shows considerable wear, with noticeable signs of extensive use. Such an item still has 100% functional. Battery health must show above 80%
    • Minor Damage: Device has only ONE issue such as a cracked screen without dead display areas, cracked camera, bad button, etc. Device must be fully stocked.
    • Broken: Has more than one issue (if the condition selection has a minor damage condition) from the minor damage category, water damage, bent and/or dented housing, cracked display, etc. Device must be fully stocked.
  7. The condition categories listed on our Website provide general descriptions for assessing your electronic devices (“Products”). Each Offer page includes detailed criteria specific to that Product’s category. GadgetPickup reserves the right to modify these criteria at any time, but such changes will not affect Offers for Products already shipped to us. Certain issues with a Product may not be apparent when you submit it for a Trade-In. Our Technical Specialists may identify conditions requiring further evaluation, which could lead to an adjustment of the Offer price. Adjustments may occur if, for example, you selected an incorrect model, the Product has a BAD ESN (e.g., still active on a carrier account or not fully paid off), or the Product’s condition differs from your description. In some cases, our evaluation may result in a higher Offer than initially quoted, based on our Technical Specialist’s assessment. If you need assistance categorizing your Product, please contact us at support@gadgetpickup.com, and we’ll gladly guide you through the process.
  8. GadgetPickup holds sole authority to perform the final assessment of all electronic devices (“Products”) submitted for our Trade-In Service. If our evaluation results in a revised Offer price, we will notify you via email, and you will have three (3) days to accept or reject the new Offer, recognizing that response times may vary due to busy schedules. If we do not receive a response within three (3) days, we will assume acceptance of the revised Offer and process payment using your selected payment method. The initial Offer price quoted is valid for fourteen (14) days from the date of the Offer. If we receive your Product after this fourteen (14) day period, GadgetPickup will reassess the Product and determine its value based on current market value
  9. GadgetPickup, at its sole discretion, determines which electronic devices (“Products”) qualify for our Trade-In Service or other Services offered through our website at www.gadgetpickup.com (“Website”) and for which eligible Products we will extend an Offer. GadgetPickup reserves the right to discontinue the eligibility of any Products at any time without prior notice. However, such changes will not impact any Products for which you have already accepted a valid Offer, which remains effective for fourteen (14) days from the date of the Offer.
  10. Our “minor damage/broken” category encompasses most significant damage to electronic devices (“Products”). However, certain severe damages, such as extensive tampering or modifications, may fall outside this category. In such cases, GadgetPickup reserves the right to adjust the original Offer price in accordance with these Terms and Conditions, based on our evaluation of the Product’s condition.
  11. For Apple devices, you can identify a corporate lock or IT policy in three ways: (1) Navigate to Settings > General > Profile on your device, where a Configuration Profile linked to a company name may be listed. (2) During device restoration, a “Remote Management” message may appear, indicating a company name. (3) The registration process may prompt for credentials associated with a company name. These signs indicate that your device is subject to a corporate lock or IT policy, which imposes restrictions that prevent GadgetPickup from accepting it for our Trade-In Service. Prior to submitting your device, you must contact the associated company to have the corporate lock or IT policy removed.
  12. Device Battery Performance and Price Adjustment. If the battery of your device lasts less than one hour or is found to have less than 80% of its original capacity, GadgetPickup may modify the offered price to reflect the value of a functional device with reduced battery performance. We will notify you of any price changes for your approval prior to finalizing the transaction, ensuring compliance with Florida Statute § 501.203 and transparent consumer practices.
  13. Personalized Device Engravings and Valuation. If a device is received with personal engravings, GadgetPickup reserves the right to adjust the valuation to account for the customization. Typically, the device’s value will be reduced by one condition tier to reflect its altered marketability. You will be informed of any valuation changes for your approval before the transaction is finalized.
  14. Customer Referral Incentive Program. To foster enduring relationships with our customers, GadgetPickup offers a referral program where you earn a fixed reward for each new customer you refer to our services. Referral payments are processed and distributed in bulk at the end of each month to eligible participants. Program details, including reward amounts and eligibility, are available on our website and subject to change with prior notice.
  15. Ownership of the product submitted to GadgetPickup for trade-in transfers to GadgetPickup upon our acceptance of the product for either the original offer or a revised offer. If the product is returned to you, ownership remains with you and does not transfer to GadgetPickup. Any offer made by GadgetPickup for your trade-in product is nontransferable and can only be redeemed as specified in the offer. It cannot be exchanged for any other form of consideration.
  16. Compliance with Import and Export Regulations. You agree to fully comply with all applicable import and export laws, regulations, and rules of the United States and any relevant foreign government authority. You will not transfer any product to GadgetPickup without obtaining proper authorization from the appropriate U.S. or foreign government. You are solely responsible for all costs associated with ensuring compliance, including valuation, classification, duties, and obtaining necessary authorizations or clearances for conveying your product to GadgetPickup for trade-in. You must not send any products to GadgetPickup that violate these the S. trade sanctions generally prohibit the importation into the United States or its territories, directly or indirectly, of most goods, technology, or services from certain countries, from individuals or entities designated by the U.S. government as promoting weapons of mass destruction, foreign terrorist organizations, or designated terrorists and narcotics traffickers.
  17. Shipping Insurance. Devices shipped via UPS or USPS include standard insurance coverage up to $100. If you need additional insurance, you must arrange and purchase it directly through UPS or USPS. GadgetPickup is not responsible for damages resulting from improper or insufficient packaging.
  18. Risk of Loss. You bear the risk of loss for products sent to GadgetPickup for trade-in until they are delivered to our facility. GadgetPickup assumes responsibility for risk of loss only upon commencing inspection of the products. If GadgetPickup rejects or returns your products for any reason, our responsibility for risk of loss ends once we hand the package to the carrier for return shipping. You remain responsible for any damage to your product that occurs during transit. If your electronic device(s) have either been damaged or lost while they are in transit, we at GadgetPickup will do our best to help find the appropriate resolution for you as a valued customer. It is your responsibility to make sure that your item(s) are fully secure when you ship them. If a package is received and looks to have been damaged due to mishandling, we return the package without opening it. However, if the box is secure and does not look as though anything happened during transit and the item inside was not secure, we will offer you an amount based on the condition we receive the phone in. GadgetPickup is not responsible for damages or theft incurred during transit due to incorrect packaging. Drop your package off in your local USPS/UPS office and obtain a drop-off receipt. It minimizes any risks during transportation.
  19. Packaging and Submission Requirements. When shipping your product to GadgetPickup, you must include all items described in your submission, such as software, accessories, adapters, and manuals, as these were used to determine your offer. If you fail to include any represented items or send a product that does not match your original description, the final value of your product may be adjusted, potentially resulting in a revised offer.
  20. Data Backup and Responsibility. Before sending your product to GadgetPickup for trade-in, you must back up and securely store any data you wish to retain from hard drives, memory chips, SD cards, or similar storage components. You are responsible for removing all personal information from the product prior to submission. By submitting your product, you release GadgetPickup from any claims related to the product, its stored data, or any media used with it, including claims concerning the security, integrity, confidentiality, disclosure, or use of such data. GadgetPickup is not liable for: (a) any loss resulting from data not removed from the product that is subsequently transferred to a third party, or (b) any data loss occurring after the product is submitted to us.
  21. Trade-In Shipping and Inspection. You must ship your trade-in product to GadgetPickup within fourteen (14) days of accepting the original offer (“Shipping Period”). Products received after this period may be subject to a price adjustment based on the offer values applicable on the date of receipt. You are required to follow GadgetPickup’s provided packing and shipping guidelines to prevent damage or loss during transit. Upon receipt, GadgetPickup will inspect all products and may accept or reject any product that: (a) does not match the description you provided, (b) has been altered to no longer meet the manufacturer’s specifications, (c) fails to comply with applicable laws or regulations, or (d) is damaged or lost in transit. If a product is rejected for any of these reasons, the original offer will be voided immediately. GadgetPickup may also revise the original offer if: (a) the product or included materials differ from your description, (b) the product is received after the Shipping Period, or (c) the product does not match the details used to calculate the original offer. Once a product is sent to GadgetPickup for trade-in, we cannot guarantee the return of the product or any data it contains. If you choose not to accept a revised offer, the product will be returned to the original shipping address at no cost to you.
  22. Device Trade-In Process:
    • Shipping: After shipping your electronic device(s) to us, please allow up to five business days for delivery to our facility. This accounts for transit time and ensures proper receipt at our office. We are not liable for delays caused by shipping carriers such as UPS or USPS.
    • Inspection: Upon receiving your device(s), our Technical Specialists will assess their condition within one to three business days.
    • Payment: Following the assessment, we will issue payment via your chosen method or provide an adjusted offer if the device’s condition differs from your initial offer. You have three business days to accept or decline the adjusted offer. If no response is received within this period, we will proceed with the revised offer and issue payment. Payment processing may take up to three business days. You can track the status of your device(s) at any time through your GadgetPickup account. If you select PayPal, you are responsible for any associated fees. In the event a mailed check is lost or returned due to an incorrect address, a replacement check will be sent.
  23. Offer and Valuation Process. GadgetPickup determines the value of your product based on the information you provide, at our sole discretion. We consider factors such as the product’s model, functionality, condition, and inclusion of accessories. Upon receiving an offer, you may accept or reject it. Accepting the offer confirms your agreement to sell the product to GadgetPickup at the offered price. If you reject the offer, the transaction is immediately void. Should you later wish to accept a previously rejected offer, you must initiate a new transaction, subject to the product’s eligibility and potentially different pricing, as values may change. Product condition assessments may vary depending on the category and type of product.
  24. Accuracy of Information and Offer Adjustments. GadgetPickup strives to provide accurate information regarding your product but cannot guarantee the absence of typographical errors, technical inaccuracies, pricing mistakes, or other errors or omissions. We reserve the right to correct any errors and adjust the offer at any time before payment is issued. If you have already sent your product to GadgetPickup for trade-in, the adjusted offer will be presented as a new offer, which you may accept or reject.
  25. Device Return Policy. If our Technical Specialists determine that your device’s condition differs from your initial assessment, we may propose a revised offer. Should you decline this offer, we will return the affected device to you at no cost. For orders containing multiple devices, only the device with the revised offer will be eligible for return; other devices, even if subject to a new offer, cannot be returned. If you do not respond to our revised offer email within three business days, we will proceed with processing the transaction based on the new offer. If a device is deemed to have no value per our assessment and you fail to respond within three business days, we will recycle the device. During testing, our Technical Specialists may remove SIM cards, casings, or protective layers, and GadgetPickup is not responsible for returning these components. Once a device is sent to us, we do not guarantee the return of the device or any data, except in cases where you decline a revised offer. Free return shipping does not apply and return fee of $20 for the first device plus $5 for each additional device will be charged in the following cases: (a) The device was significantly misrepresented; (b) The device is reported as lost or stolen; (c) The device has an Activation or iCloud lock; (d) The device has a bad ESN or financed IMEI; (e)The device contains missing or non-OEM parts.
  26. Compliance and Product Integrity. You agree that all products submitted for sale and shipped to GadgetPickup must: (a) adhere to all applicable laws, regulations, and ordinances, including import and export requirements; (b) not violate any third party’s intellectual property rights, such as copyrights, trademarks, patents, or trade secrets; and (c) be free from counterfeiting, theft, or fraud. You represent and warrant that the products are free of any liens, encumbrances, or third-party software that cannot be transferred or requires royalty payments.
  27. Indemnification and Customer Responsibilities. By using GadgetPickup’s services, you agree to indemnify and hold GadgetPickup harmless from any claims, damages, or losses arising from your breach of any representations or warranties. You are solely responsible for disconnecting any phone, internet, or similar services associated with your product before selling it to GadgetPickup. We are not liable for any service charges related to your product, whether incurred before, during, or after your use of our services. Additionally, you must remove any security codes or locks that could restrict the use of the product prior to submission.
  28. Lost or Stolen Devices. All devices submitted to GadgetPickup are screened against multiple databases to verify they are not reported as lost or stolen. We do not purchase or compensate for devices identified as lost or stolen under any circumstances. Such devices will be promptly surrendered to the appropriate authorities. Upon request, we will provide the device’s Serial/IMEI number and your personal information to legal authorities as required. You must possess full legal right, title, and interest in any product you submit for sale to GadgetPickup. All products must be capable of activation for new service, except in cases where the product’s condition prevents activation.
  29. We do NOT purchase devices that are Activation / iCloud Locked and you’ll need to remove any security features before we are able to process it. If we receive a device that has an Activation Lock that can not be removed, we are unable to purchase it and will charge a fee to return it back to you. A base fee of $20 + $5 for each additional device will be charged for returning the device(s). If we receive no reply from you within thirty (30) days following the email notification regarding an activation lock on your device, we will assume the device has been abandoned and will move forward with recycling it in accordance with our policies.
  30. Electronic Transactions, Access, and Website Usage
    • Electronic Communications: By using GadgetPickup’s services, you consent to conduct transactions electronically, including accepting offer terms and conditions. You authorize GadgetPickup to deliver terms, notices, and transaction-related information to your provided email address or by posting on our website. You must maintain a current and accurate email address and ensure our emails are not blocked by spam filters or other restrictions. If you no longer wish to transact electronically, you must discontinue using our services and website. This agreement is accessible via the “Terms and Conditions” link on our website.
    • Equipment and Access: You are solely responsible for obtaining and keeping, at your own cost, all necessary equipment, such as devices and internet browsers, as well as maintaining active internet access, to engage with and utilize our website effectively. If you use a mobile or wireless device to access our website or applications, you are solely responsible for any carrier fees, such as those for data, text messaging, or other wireless services.
    • Website Usage Restrictions: You agree to access our services solely through the user interface provided by GadgetPickup. You must not engage in activities that interfere with or disrupt our services or website performance, including accessing or using our website or services through scripts, web crawlers, bots, or other automated methods.

  32. GadgetPickup reserves the right to send you SMS reminders if you do not respond to emails regarding adjustments to your offer. If you wish to opt out of receiving SMS updates, you may do so at any time by replying “STOP” to any message received or by contacting our customer service at support@gadgetpickup.com.
  33. Disclaimer of Warranties. To the maximum extent allowed by applicable law, GadgetPickup provides its services and website on an “as is,” “with all faults,” and “as available” basis, without any express or implied warranties. We disclaim all implied warranties, including those for merchantability, accuracy, fitness for a particular purpose, non-infringement, and satisfactory quality. We do not guarantee that your transactions with GadgetPickup will meet your expectations or specific requirements.
  34. Content Accuracy and Corrections. GadgetPickup’s website and transaction-related correspondence may contain typographical errors, inaccuracies, or omissions and may not always be complete or up to date. GadgetPickup reserves the right to fix errors, inaccuracies, or omissions and to modify or update content as needed without prior notification. However, GadgetPickup does not guarantee that all errors, inaccuracies, or omissions will be corrected.
  35. Limitation of Liability. To the maximum extent permitted by applicable law, our service and its directors, officers, employees, agents, distributors, or contractors (collectively, “our parties”) shall not be responsible for any compensatory, incidental, indirect, consequential, or special damages, including loss of data, income, profit, or property damage, or any claims by you or third parties arising from your transactions with GadgetPickup under this agreement, bears no liability for damages under any legal theory, including contract, tort, negligence, warranty, or otherwise, even if we’ve been notified of such damages. To the fullest extent allowed by law, the total liability of GadgetPickup and the GadgetPickup Parties, collectively, related to your access or use of our services and website shall not exceed the greater of (i) the amount you paid us, if any, or (ii) fifty dollars ($50.00). These limitations do not apply to liability for our gross negligence, fraud, or intentional, malicious, or reckless misconduct.
  36. Affiliated Website Transactions. Customers engaging with GadgetPickup through an affiliated website acknowledge that GadgetPickup is not liable for any issues or concerns beyond the scope of this agreement’s terms and conditions. Any such matters should be addressed directly with the relevant company responsible for the issue, not GadgetPickup.
  37. You agree to indemnify, defend, and hold harmless our service and its directors, officers, employees, agents, distributors, and contractors (collectively, the “GadgetPickup Parties”) from all claims, liabilities, damages, losses, expenses, or fees (including reasonable attorneys’ fees) caused by your violation of any terms or obligations in this agreement. GadgetPickup reserves the right to take exclusive control of the defense of any matter subject to indemnification by you, and you agree to fully cooperate with our defense of such claims.
  38. Entire Agreement and Waiver. This agreement represents the complete understanding between you and GadgetPickup regarding its subject matter. No waiver by GadgetPickup of any breach or default under this agreement shall be considered a waiver of any prior or subsequent breach or default.
  39. Modification of Agreement. GadgetPickup may amend this agreement at any time without prior notice. If you disagree with the changes, you must stop using GadgetPickup’s website and services. Your continued use of our website or services after changes are implemented signifies your acceptance of the updated terms. Each time you submit a product for sale, you confirm your acceptance of the agreement in effect at that time. You are responsible for reviewing and familiarizing yourself with this agreement every time you engage with our website or utilize our services to ensure compliance with its terms. The date of the latest revisions to this agreement is indicated below.
  40. If any provision of this agreement is deemed unlawful, void, invalid, or unenforceable, that provision shall be severed from the agreement, and the remaining provisions shall remain fully binding and enforceable.
  41. Governing Law and Binding Arbitration. This agreement shall be governed by and interpreted according to the laws of the State of Florida, without regard to the laws of any other jurisdiction. Unless prohibited by applicable law, any dispute or claim between you and GadgetPickup arising from or related to this agreement, its alleged breach, or the relationship established herein—including issues regarding the arbitrability of such disputes, or claims that this agreement or any part thereof is invalid, illegal, voidable, or void—shall be resolved exclusively through binding arbitration. The arbitration will follow the Dispute Resolution Rules of the American Arbitration Association (AAA), before a single arbitrator mutually selected by you and GadgetPickup. You and GadgetPickup shall initially split the arbitrator’s fees and costs equally. If either party fails to pay its share promptly, the arbitrator may issue a default judgment against the non-paying party on the claims and defenses, provided that GadgetPickup may, at its discretion, advance your share of the costs to proceed with arbitration without waiving its right to recover those costs as outlined herein. The arbitrator’s decision, whether by default or after a hearing, shall be final and binding on both parties. Unless restricted by applicable law, arbitration proceedings shall take place in Oldsmar, Florida. A court in Pinellas County, Florida, with jurisdiction may enter a legal judgment based on the arbitrator’s award. The prevailing party in the arbitration shall be entitled to recover from the non-prevailing party the arbitrator’s fees and costs it advanced, as well as all reasonable attorneys’ fees and costs related to the arbitration. By agreeing to this arbitration provision, you acknowledge and consent to waiving your right to a jury trial for any matters covered by this agreement.
  42. Enforcement and Remedies. GadgetPickup holds the right to examine any complaints or reported breaches of this agreement and to take actions we deem necessary, which may include reporting suspected unlawful activities to law enforcement agencies, regulatory bodies, or other relevant third parties. We may also disclose associated information, including but not limited to email addresses, user profiles, usage history, IP addresses, posted materials, and website traffic data, to those entities as required or appropriate. We also preserve the right to pursue all possible legal and equitable remedies for violations of this agreement, including blocking access to our website from specific internet addresses. This agreement includes by reference any additional terms posted on our website and represents the complete understanding regarding access to and use of the website.
  43. Intellectual Property. All content on GadgetPickup’s website, including text, images, technologies, and other materials, is the exclusive property of GadgetPickup and is protected by trademark and other intellectual property laws. No content may be used, reproduced, or copied without GadgetPickup’s prior written consent.
